Under the AMRO Technical Assistance Program, AMRO provides technical support to ASEAN+3 members with a focus on strengthening the capacities of these economies. Towards this aim, AMRO is seeking to engage individual consultants, experts or consulting entities to implement the following Technical Assistance project.

Background and Rationale

The National Bank of Cambodia (NBC) intends to provide a structured mechanism to resolve distressed assets within the country. On 19th February 2026, the NBC issued a Prakas on Conditions for Asset Management Institutions to establish a regulatory framework for acquiring and managing NPLs. The ultimate objective is to strengthen financial stability, restore bank balance sheets, improve credit discipline, and support renewed lending to productive economic sectors; while preserving the essence of consumer protection in the AMI operations and regulatory framework.

To support the operation of AMI and to achieve the above objectives, a robust regulatory framework is needed, to incorporate prudential requirements for AMIs together with the guidance on NPL management, funding mechanisms, valuation and pricing, disclosure and transparency requirements, as well as those measures or regulations deemed necessary to safeguard public interests.

The project will also require coordination with relevant ministries to establish practical solutions and guidance on cross-agency frameworks involving tax treatments, out-of-court mechanisms, and property registration.

Project Description

In addition to the existing Prakas, technical assistance is required on the following topics:

Capital Frameworks: Development of Capital Adequacy Framework for AMls, prescribing regulatory capital requirements and risk-weighted asset calculations.

Other relevant regulations:

1. Development of regulations related to eligible criteria, including percentage of total NPL portfolio and loan portfolio types (by sector and by classification), permissible for transfer from Banks and Financial Institutions (BFls) to the AMI.
2. Asset classifications and provisioning requirements.
3. Accounting treatment when transferring NPLs to AMI (double entry and disclosure for both BFls and AMI).
4. Related party and conflict of interest.
5. Risk concentration limit.
6. Leverage ratio and debt constraints.
7. Valuation and transparency standards.
8. Consumer protections rules or requirements.

Credit reporting requirements for BFls, AMI and Credit Bureau: How the acquired NPLs should be reported in the Credit Reporting System and the obligation of each party.

Governance, Funding, and Resolution Tools: Comprehensive frameworks detailing AMI governance, funding mechanisms through bond issuance, securitization, and resolution tools such as sale-and-leaseback schemes.

Transfer Operational Guidelines: Guidance on payment facilitation methods.

Project Deliverables / Outputs

Expected key outputs will be framework policy papers, draft regulations and operational guidelines detailing each of the above.

In addition, training related to the above and to the supervision and licensing of AMIs for NBC staff will also be required.
